These Terms of Service (“Terms“) are a binding agreement between you (“you“, “your“, or “Customer“) and SEOIndia (“SEOIndia“, “we“, “us“, or “our“) covering your use of https://seoindia.co/ and any services, software, products, content, or communications operated under the SEOIndia brand (collectively, the “Service“). By creating an account, paying for a subscription, submitting a contact form, using any free tool, or otherwise interacting with the Service you confirm that you have read, understood and agreed to these Terms. If you do not agree, you must not use the Service.
1. Definitions
“Account” means a user account registered on SEOIndia. “Subscription” means a paid recurring plan (Starter, Growth, Scale, Enterprise) or one-time purchase (Deep Audit, Migration SEO, Website Development, etc.). “Customer Data” means any data you input, upload, or generate through the Service. “SEO Deliverables” means audit reports, content, schema, internal links, backlinks acquired, technical fixes, AI-search optimisation work, and any other output produced by the Service or by us on your behalf. “Confidential Information” means non-public business or technical information disclosed by either party.
2. Service description
SEOIndia delivers AI-first SEO services to clients in 30+ countries, plus a library of free and paid SEO software tools and an AI conversational agent named Soul. Specific deliverables, throughput limits, timelines and roles are described in your chosen Subscription tier and any Statement of Work (SOW) executed in addition to these Terms. Where your SOW conflicts with these Terms, the SOW controls for the specific engagement it covers.
3. Account registration and eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into a binding contract to register. You agree to provide accurate registration information and to keep it updated. You are responsible for safeguarding your password and all activity that occurs under your Account. We strongly recommend enabling TOTP-based two-factor authentication and we require it for paid accounts. Notify us immediately at https://seoindia.co/contact/ if you suspect unauthorised access.
4. Subscription, billing and payment
4.1 Plans
We offer four monthly subscription tiers — Starter, Growth, Scale, and Enterprise — billed monthly or annually in your selected currency. Yearly billing is discounted; the prevailing rates are shown on /pricing/ and frozen at the date of your most recent renewal. We may revise prices on 30 days notice; existing renewals continue at the locked rate until the next renewal cycle.
4.2 Billing cycle
Subscriptions auto-renew on the same calendar day each billing period unless cancelled. Renewal attempts are made on the renewal date and again two and seven days later if the first attempt fails. If all attempts fail your Account is suspended after 14 days; data is preserved for 30 days, then deleted.
4.3 Taxes
Prices are exclusive of taxes unless an approved proposal or invoice states otherwise. Applicable taxes, payment charges or statutory deductions will be shown on the relevant invoice where required. Any tax identification number you provide at checkout (GSTIN, VAT, ABN, etc.) will be reflected on your invoice where applicable.
4.4 Refunds
Duplicate or erroneous charges are refundable — contact us at https://seoindia.co/contact/ and we will correct them. Before onboarding begins, a payment may be refunded where substantive work has not started, less unavoidable transaction costs where legally permitted. Once onboarding or substantive delivery has begun, setup and service fees are normally non-refundable. Where a documented service failure occurs, we will resolve it through correction, a service credit or, where specifically approved, a refund, and we process approved refunds within 7 business days to the original payment method. One-time purchases (Deep Audit, Migration SEO, Website Development) are non-refundable once work has begun. Nothing in this section affects your non-waivable statutory rights.
4.5 Cancellation
After the initial 90-day service period (where applicable — see 4.7a), either party may give at least seven days’ written notice of cancellation via your dashboard or by emailing https://seoindia.co/contact/. Cancellation becomes effective at the end of the current paid billing period. Fees for properly completed or committed work remain governed by the approved proposal and applicable law. We do not pro-rate refunds for early cancellation within an active period.
4.6 Annual commitment and the “trust cycle”
Search-engine optimisation, content marketing, local SEO, paid advertising, and authority building are long-term growth strategies. Meaningful, sustainable, compounding results require continuous optimisation, testing, data collection and refinement over multiple months. For that reason, we strongly recommend an annual Subscription term for any client who wants serious ranking outcomes rather than spot-check experiments.
Yearly plans allow our team the runway to: build long-term SEO authority; ship complete technical implementations end-to-end; develop a content ecosystem with proper topical depth; acquire quality backlinks at a defensible cadence; continuously optimise campaigns based on real data; analyse user behaviour and conversions across a full annual cycle; and improve rankings sustainably over time. Digital growth compounds with consistency — most of our biggest client wins happened in months 9-18, not month 1.
If you choose an annual plan, we ask for a corresponding commitment of trust and collaboration: a willingness to wait through the necessary 3-12 month window for results to materialise; to provide feedback, access, content approvals and decisions within reasonable timelines; and to engage the strategy reviews on a regular cadence. In exchange we commit to transparent weekly delivery, live ranking dashboards, white-hat-only execution, data-driven decision-making, and a senior strategist who is genuinely accountable for your outcome. This mutual commitment is what we call the “trust cycle” — and it is the single biggest reason our annual clients outperform our month-to-month clients.
Monthly Subscriptions remain fully available — there is no obligation to lock into yearly billing. But we will tell you honestly during your strategy call which configuration we believe will actually produce the result you came to us for. If your goal is a quick experiment we will recommend monthly; if your goal is durable category leadership we will recommend annual. Either way, the choice is always yours.
4.7 Managed-service commercial terms (controlled pilot)
a) Initial term. Managed engagements begin with an initial minimum service period of 90 days and are billed monthly. After the initial 90-day period, services continue month-to-month unless cancelled in accordance with section 4.5. There is no long-term lock-in after the initial 90-day growth period.
b) Setup fees. Standard setup: Managed Foundation $1,500 · Managed Growth $2,500 · Managed Scale $5,000 or as defined in the approved proposal. Founding-programme clients (3–5 initial places) pay 50% of the standard setup fee, payable upfront or in up to three monthly onboarding instalments, with the pilot rate locked for twelve months while the engagement remains continuously active. Where an engagement ends with onboarding instalments outstanding, recovery is limited to completed onboarding work, unavoidable committed costs, work expressly authorised in the approved proposal, and amounts lawfully due.
c) Allowances and overage. Package allowances (keywords, content units, links, tool credits) reset monthly and do not roll over unless explicitly agreed in writing. Work beyond an allowance requires written approval before it begins and is billed at the published add-on or overage rates, which are disclosed before approval.
d) Content classifications. An AI-assisted draft is a structured AI-assisted draft of up to 1,200 words with basic on-page optimisation and one revision; it is not managed editorial content, and publishing is excluded unless separately stated. A managed editorial article includes human research, search-intent validation, editing, SEO optimisation, internal-link planning, an originality/quality review and up to two revisions.
e) Website migration. Website migration from $499 covers one simple export-capable website with no more than 50 indexable URLs, subject to written scope and intake review. Websites with 51–200 URLs begin from approximately $799 or are intake-calculated. E-commerce, multisite, custom applications, redesign, email migration, custom forms, re-platforming and custom development require a separate proposal. Migration rollback is limited to redirect-map reversal.
f) Managed Scale and custom engagements. Managed Scale and Enterprise/custom engagements are available by written proposal only. The sent proposal is an immutable snapshot with a defined validity period, and it — not any generic page copy — governs the scope and price of the engagement.
g) Overdue payment. If payment remains overdue after the seven-day grace period, SEOIndia may pause future service delivery and restrict paid-feature execution until payment is resolved, following advance notice and with a clear payment-recovery and restoration route. Existing client data is retained according to the published retention policy; access and data are not destructively removed solely through an automatic downgrade.
h) Beta software and estimated data. The self-serve software platform is a Founding Beta available by invitation or included with selected managed plans; unrestricted self-serve billing is not enabled. Tool outputs that are estimates are labelled as such (including keyword estimates and the AI Citability Score — Beta). Live multi-engine AI citation tracking is not included.
i) No guarantees. We do not guarantee rankings, traffic, leads, backlinks, editorial placements or AI citations. Where we describe typical experience, it reflects measured, honest observations only.
j) Testimonials and case studies. We may request feedback on the engagement. Use of your testimonial, case study, name, logo or results requires your explicit separate permission, normally sought after meaningful results exist; documented consent may be withdrawn subject to already-published lawful use.
5. Use of the Service — acceptable use
You agree NOT to:
- Use the Service for any unlawful purpose or to facilitate illegal activity, hate speech, gambling fraud, scam content, infringement of intellectual property, doxing, or harassment.
- Upload viruses, malware, ransomware, or content designed to disrupt or surveil any system.
- Attempt to gain unauthorised access to any part of the Service, other Accounts, related systems, or our networks; reverse-engineer the Service except to the extent permitted by applicable law.
- Use bots, scrapers, or automated tools to abuse rate limits, generate fake traffic, manipulate AI outputs, or sign up multiple Accounts to circumvent quotas.
- Resell, sublicence, or white-label the Service without a separate written reseller agreement.
- Submit personal data of others without lawful basis to do so, including running unauthorised audits against domains you do not own or control.
- Run SEO campaigns that violate Google Webmaster Guidelines / Bing Webmaster Guidelines, including but not limited to PBNs, link schemes, cloaking, doorway pages, content theft, or AI-generated content passed off as human-authored expert content without disclosure.
Violations may result in immediate suspension, termination, deletion of Customer Data, and where appropriate, referral to law enforcement.
6. Intellectual property
6.1 Our IP
The Service — including all software, code, design, the Soul agent’s prompts, our SEO methodologies, our templates and frameworks, our brand assets and the SEOIndia trademarks — is and remains our exclusive property and that of our licensors. These Terms do not grant you any ownership or licence to that IP except the limited right to use the Service in accordance with the Terms during your Subscription term.
6.2 Your IP
You retain all rights, title and interest to Customer Data. You grant us a non-exclusive, royalty-free, worldwide licence to access, use, copy, process and display Customer Data solely as required to provide the Service to you, comply with law, and improve the Service (in pseudonymised and aggregated form only).
6.3 SEO Deliverables
On full payment for the relevant Subscription period or one-time SOW, ownership of the resulting SEO Deliverables (audit reports, articles produced under the content add-on, schema markup, technical implementation work, custom websites built under the Website Development service) transfers to you. We retain the right to use anonymised case-study extracts of the work for our own marketing unless you opt-out in writing.
7. Service-level commitments and disclaimers
7.1 Uptime
We aim for 99.9% monthly uptime for the dashboard and the free tools, excluding scheduled maintenance windows. Maintenance windows are announced 48 hours in advance and run between 02:00–05:00 IST.
7.2 SEO results — no guarantee
You acknowledge and agree that search-engine rankings, organic traffic, AI-search citations, and revenue outcomes depend on factors outside our control — including changes to search-engine ranking algorithms, your domain’s existing authority, competition, market conditions, your own editorial decisions, and the technical state of your website. We do not and cannot guarantee any specific ranking, traffic, conversion, or revenue outcome. Any examples, ranges, or case studies on the site are illustrative, not promises.
7.3 No professional advice
Content on our blog, in audit reports, in Soul chat responses, and elsewhere is provided “as is” for informational purposes and does not constitute legal, financial, medical, or other professional advice for your specific situation.
8. Confidentiality
Each party agrees to hold the other’s Confidential Information in strict confidence, to use it only for purposes consistent with these Terms, and to protect it with the same care it uses to protect its own confidential information (but in no event less than reasonable care). Confidentiality obligations survive termination for three years, or indefinitely with respect to trade secrets.
9. Indemnification
You agree to defend, indemnify and hold harmless SEOIndia, its officers, directors, employees, contractors and affiliates from any third-party claim, demand, loss, liability, damage, settlement or expense (including reasonable attorneys’ fees) arising out of (a) your use of the Service in breach of these Terms; (b) your violation of any law or third-party right; (c) Customer Data that you uploaded, transmitted, or had us process; (d) SEO campaigns or content choices you instructed us to execute against our explicit warnings.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, lost revenue, lost data, lost goodwill, or business interruption, arising out of or related to the Service, regardless of the theory of liability and even if advised of the possibility of such damages. Our aggregate liability to you for any claims arising out of or related to the Service will not exceed the greater of (a) the amount you paid us in the 12 months immediately preceding the event giving rise to the claim, or (b) USD 500. Some jurisdictions do not allow the limitation of certain damages — in those jurisdictions the limitations apply to the maximum extent permitted by law.
11. Termination
You may terminate at any time by cancelling your Subscription. We may suspend or terminate your Account immediately, with or without notice, if you breach these Terms, fail to pay, or use the Service in a way that risks regulatory or reputational harm to us. On termination your right to use the Service ends; we retain Customer Data for 30 days for recovery and then delete it (subject to legal retention obligations).
12. Governing law and dispute resolution
These Terms are governed by the laws of England and Wales, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the courts of London, England. Notwithstanding the foregoing, either party may seek injunctive relief in any competent jurisdiction to protect its intellectual property or confidential information.
13. Changes to these Terms
We may amend these Terms by posting a revised version on this page and updating the “Effective date” above. Material changes are notified by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not accept the changes, your sole remedy is to cancel your Subscription before the effective date.
14. Miscellaneous
These Terms (together with any active SOW, the Privacy Policy, and the Cookie Policy) constitute the entire agreement between you and SEOIndia concerning the Service and supersede all prior or contemporaneous agreements. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right does not constitute a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets.
